1. About Cardit

Cardit is a digital service operated by Cardition Ltd. It enables users to create, save, scan, organise, access, share and manage information and content through the Cardit mobile app and webapp.

Cardit features may include digital cards, BCNs, QR codes, NFC sharing, Sonic QR sharing, saved cards, scanned cards, saved web cards, folders, follow collections, group collections, messages, ratings, comments, posts, menus, loyalty or reward features, and related support services.

2. Acceptance of these Terms

By creating an account, signing in, accessing or using Cardit, you agree to be bound by these Terms of Use. If you do not agree to these Terms, you must not use Cardit.

These Terms apply to all users of Cardit, including users of the mobile app, the webapp and publicly accessible card or folder links.

3. Eligibility and account registration

You must provide accurate, complete and up-to-date information when creating and maintaining your account. You are responsible for safeguarding your login credentials and for all activity carried out through your account, except to the extent caused by our failure to maintain appropriate security measures.

You must notify us promptly if you become aware of unauthorised access to your account or any security issue affecting your use of Cardit.

4. User responsibilities

You are responsible for:

  • the information and content you choose to create, upload, scan, save, organise, access, share, manage or otherwise make available through Cardit;
  • ensuring that you have the necessary rights, permissions and authority to use and share such content;
  • keeping your account credentials secure;
  • maintaining independent copies of any information you consider important;
  • using Cardit in a lawful and respectful way.

You must not use Cardit in any way that is unlawful, fraudulent, abusive, misleading, harmful to Cardit, harmful to other users, or harmful to third parties.

5. Acceptable use restrictions

You agree not to:

  • use Cardit for unlawful or unauthorised purposes;
  • create, upload, save, scan, organise, access, share or distribute content that infringes the rights of any third party;
  • attempt to interfere with, disrupt, damage, reverse engineer or gain unauthorised access to Cardit or related systems;
  • use automated means to access the service in a way that harms performance, availability or security;
  • misuse Cardit to store, share or distribute malicious code, spam, phishing content, harmful content or abusive content;
  • misrepresent your identity, business, product, service or relationship with another person or organisation.

6. User content and ownership

You retain ownership of the content and information you submit to Cardit, subject to the rights necessary for us to operate the service. By using Cardit, you grant us a limited, non-exclusive, revocable right to host, process, store, reproduce, display and transmit your content solely to the extent necessary to provide, secure, maintain, improve and enable the functionality of Cardit in accordance with these Terms and our Privacy Policy.

You are solely responsible for the content you choose to create, upload, save, scan or share through Cardit and for ensuring that such use and sharing is lawful and authorised.

7. Sharing features

Cardit may allow you to share cards, contact details, links, posts, folders, collections or other content with other users or third parties. You acknowledge and agree that:

  • you are responsible for what you choose to share;
  • you must ensure that you have the right to share such content;
  • once content is shared, it may become accessible to the intended recipient and may no longer remain exclusively under your control;
  • we are not responsible for how recipients use, store, copy or further share information after you have chosen to share it, except where required by applicable law.

8. Service functionality and changes

We may modify, update, suspend or improve parts of Cardit from time to time, including for maintenance, security, legal, operational or technical reasons. We will seek to avoid unnecessary disruption, but we do not guarantee that all features or functionality will remain available at all times.

9. Service availability

We aim to keep Cardit available and functioning properly, but the service is provided on an "as available" basis. We do not guarantee uninterrupted access, error-free performance or continuous availability. Outages, delays, maintenance windows, security incidents, software defects, third-party dependency failures, connectivity issues and other interruptions may occur.

10. Data storage, integrity and backups

We use reasonable technical and organisational measures designed to protect information stored in Cardit. However, no digital service can eliminate all risk of data loss, corruption, delay, unauthorised access or unavailability.

For that reason:

  • you should keep independent copies of any important information;
  • Cardit should not be treated as your sole backup or sole archive for critical data;
  • you acknowledge that technical failures, third-party outages or security events may affect stored data or access to it.

11. No guarantee of absolute security

We work to protect the security and integrity of Cardit and the personal data processed through it. However, no platform, network, server, software environment or transmission method can be guaranteed to be completely secure.

12. Third-party services and dependencies

Cardit may rely on or interact with third-party services, infrastructure, software libraries, authentication systems, analytics tools, hosting providers, app-store providers, maps, media services, payment providers, notification providers or connectivity providers. We are not responsible for service failures, interruptions, data issues or unauthorised access caused solely by third-party systems outside our reasonable control, although we may take reasonable steps to mitigate their impact where appropriate.

External links, saved web cards and third-party websites are controlled by their own operators. You should review their terms and privacy policies before relying on them.

13. Intellectual property

All intellectual property rights in Cardit, excluding user content, remain owned by or licensed to Cardition Ltd. You may not copy, distribute, modify, reverse engineer, decompile, create derivative works from or otherwise exploit Cardit except as permitted by law or with our prior written consent.

14. Suspension, restriction and termination

We may suspend, restrict or terminate access to Cardit where reasonably necessary for:

  • security or fraud prevention;
  • legal or regulatory compliance;
  • breach of these Terms;
  • protection of the service, users or third parties;
  • maintenance, upgrade or technical remediation.

You may stop using Cardit at any time. Account deletion and data handling are subject to our Privacy Policy and any legal retention obligations.

15. Limitation of liability

To the fullest extent permitted by applicable law, we are not liable for:

  • loss of data;
  • corruption of stored information;
  • delay, interruption or unavailability of the service;
  • unauthorised access to or loss of content caused by events outside our reasonable control;
  • indirect, incidental, special or consequential loss arising from your use of Cardit.

This exclusion does not apply where such loss or damage results from our fraud, wilful misconduct, gross negligence, breach of non-excludable legal obligations, or any liability that cannot lawfully be excluded or limited.

Nothing in these Terms excludes or limits your mandatory rights under consumer law, your rights under applicable data protection law, liability for death or personal injury caused by negligence where such liability cannot lawfully be excluded, or any other liability that applicable law does not permit us to exclude or limit.

16. Indemnity

To the extent permitted by law, you agree to be responsible for claims, losses, liabilities, damages, costs and expenses arising from:

  • your unlawful use of Cardit;
  • your infringement of third-party rights;
  • your breach of these Terms;
  • your unlawful or unauthorised sharing of content or information through Cardit.

17. Privacy and personal data

We process personal data in accordance with our Privacy Policy and applicable data protection law. Our Privacy Policy explains how we collect, use, store, retain, protect and, where relevant, share personal data.

18. User rights

Where applicable, users may request access to, correction of, deletion of, restriction of, objection to, or portability of their personal data, subject to legal limitations and our Privacy Policy.

19. Changes to these Terms

We may update these Terms from time to time. Where changes are material, we may provide notice through the app, webapp, by email or by other appropriate means. Continued use of Cardit after updated Terms take effect will constitute acceptance of the updated Terms, to the extent permitted by law.

20. Governing law and jurisdiction

These Terms are governed by the laws of England and Wales, unless mandatory consumer protection laws in your country of residence require otherwise. Any disputes will be subject to the courts of England and Wales, except where applicable law provides otherwise.
